Terms of Service

These Terms of Service ("Terms") govern your use of the website and client portal operated by Instant Bookkeeper Inc ("we", "us"). By accessing the site or the portal, you agree to these Terms.

1. Services

We provide bookkeeping, tax preparation, filing, and related advisory services under a separate written engagement letter. This portal is a tool for delivering those services; it does not itself constitute tax or legal advice. The engagement letter controls the scope, fees, and deliverables of any specific engagement and prevails over these Terms in case of conflict.

2. Eligibility and accounts

• Access to the portal is by invitation from your accountant.
• You must be authorized to act on behalf of the business you represent.
• You are responsible for keeping your credentials confidential and for activity under your account.
• Two-factor authentication is available and strongly encouraged.

3. Your data and integrations

You retain ownership of the data you provide. You grant us a limited license to process it solely to deliver the services. When you connect a third-party integration (e.g., Plaid, QuickBooks Online, Jobber, Stripe), you authorize us to access data from that provider on your behalf and represent that you have the right to do so.

4. Acceptable use

• Do not attempt to access data belonging to another client.
• Do not upload unlawful content or malware.
• Do not probe, scan, or attempt to breach the service; report vulnerabilities to us instead.
• Do not use the service to violate tax, financial, or professional regulations.

5. Fees

Fees for services are set in your engagement letter or invoice. Portal access itself is not billed separately unless stated. Invoices are due on the terms shown on the invoice; unpaid amounts may result in suspension of portal access after notice.

6. Electronic signatures and filings

Signatures collected through the portal (e.g., Form 8879, TR-579, W-9, engagement letters) are electronic records under the E-SIGN Act and equivalent state laws, and are legally binding. You are responsible for reviewing documents before signing.

7. Confidentiality

We treat client information as confidential and use it only to deliver services or as required by law. Our privacy practices are described in our Privacy Policy.

8. Third-party services

The service integrates with third-party providers (see Privacy Policy for the current list). Their terms and privacy policies govern your use of those services. We are not responsible for outages or errors caused by third-party providers.

9. Disclaimers

The portal is provided "as is". We do not warrant that it will be uninterrupted or error-free. Any tax, accounting, or financial advice is provided only under a signed engagement letter and based on the information you supply; we are not responsible for outcomes resulting from incomplete or inaccurate information.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the portal is limited to the fees paid to us for the specific engagement giving rise to the claim in the twelve months preceding the event. We are not liable for indirect, incidental, or consequential damages. This limitation does not apply to liability that cannot be limited under applicable law.

11. Termination

Either party may terminate an engagement per the engagement letter. Upon termination, portal access may be revoked; we will retain records as required by law and professional standards.

12. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Venue for disputes is Rockland County, New York, unless mandatory law provides otherwise.

13. Changes

We may update these Terms; the "Last updated" date above reflects the current version. Material changes affecting engaged clients will be communicated by email or portal notice.
